When you created your company, you had to choose which of your founders will be serving as directors and officers of the company.
Delaware law requires you designate a President, a Secretary, and a Treasurer for your company. You are also able to add other officers to your company if you choose. Please visit this article to learn how.
-
The President is responsible for the overall activities of the company, the signing of stock certificates, and the signing of high-level contracts. In early-stage companies, the CEO typically serves as president.
-
The Secretary maintains detailed records of the company, prepares meeting minutes for shareholder and board meetings.
-
The Treasurer is responsible for all company financial data including financial records and reporting. This role is sometimes filled by the CFO or CRO at a company.
