If your company is conducting business in a state other than Delaware, you may need to register as a foreign entity in that state.
We will file all paperwork to register your entity and also act as your registered agent for one year in that state (this is an annual fee). Please note that you will still be responsible for the filing fees (registration, need for a certificate of good standing, etc) which varies state to state.
For example, here is the breakdown of the fees for the most common states to register in (fees subject to change):
For California, the fees are:
-
$100: Delaware Certificate of Good Standing
-
$100: California filing fee
-
$150: Registered Agent (annual fee)
-
$150: Capbase services fee
For New York, the fees are:
-
$100: Delaware Certificate of Good Standing
-
$250: New York filing fee
-
$150: Capbase services fee
For Florida, the fees are:
-
$100: Delaware Certificate of Good Standing
-
$70: Florida filing fee
-
$150: Registered agent (annual fee)
-
$150: Capbase services fee
For Georgia, the fees are:
-
$100: Delaware Certificate of Good Standing
-
$225: Georgia filing fee
-
$150: Registered Agent (annual fee)
-
$150: Capbase services fee
For Massachussetts, the fees are:
-
$100: Delaware Certificate of Good Standing
-
$400: Massachussetts filing fee
-
$150: Registered Agent (annual fee)
-
$150: Capbase services fee
